Who can be a member of an LLP?+
Any individual aged 16+, or any UK or overseas company. An LLP needs at least two members, and at least two of them must be designated.
How is an LLP taxed?+
An LLP is tax-transparent — the LLP itself doesn't pay Corporation Tax. Each member is taxed personally on their share of profits, usually through self-assessment.
How is it different from a Ltd company?+
A Ltd company has shareholders and directors, pays Corporation Tax and pays profits out as dividends. An LLP has members, is tax-transparent, and profits flow straight through to members.
Do we need a partnership agreement?+
Legally no, but practically yes. Without one, the default Limited Liability Partnerships Act 2000 rules apply — and they rarely match what the founders actually intended.
Can members live outside the UK?+
Yes. Members can be resident anywhere in the world, provided the LLP itself has a UK registered office — which is included in this package.
What ongoing filings does an LLP have?+
