Is a company limited by guarantee a charity?+

Not automatically. An LBG is a non-profit corporate structure. To become a charity you then apply separately to the Charity Commission (E&W), OSCR (Scotland) or CCNI (NI). We draft the Articles so that application is possible.

What is the guarantee?+

Instead of shares, each member promises to contribute a nominal amount (usually £1) if the company is ever wound up. There's no share capital and no dividends.

Who can start an LBG?+

One or more individuals or corporate members. There's no restriction on nationality or residency, but the company needs a UK registered office — included in this package.

Can we pay directors?+

Yes, subject to the Articles and any charity rules if you later register as a charity. Payment must be at market rate and properly documented.

What is an asset lock?+

A clause preventing profits and assets from being distributed to members — they can only be applied to the company's purposes or transferred to another asset-locked body. Regulators and grant-makers look for this first.

What ongoing filings apply?+

Confirmation Statement (annual), annual accounts and — if you become a charity — annual returns and accounts to the relevant charity regulator. All on your reminder calendar.
