What counts as a dormant company?+
A UK Ltd is dormant when it has had no significant accounting transactions during the financial year — that is, no income, no expenses, no payroll and no bank movement beyond the initial share capital or filing fees.
Do dormant companies still have to file?+
Yes. Even with zero activity you must file dormant accounts (AA02) at Companies House and, in most cases, a Confirmation Statement — otherwise the company is struck off and directors face fines.
What's the deadline?+
Nine months after your accounting reference date. Companies House applies automatic penalties from day one late — £150 up to £1,500. We aim to file the same working day we receive your instructions.
Do I need to tell HMRC as well?+
If you've never traded, HMRC usually already knows. If you've traded before and just gone dormant, we notify HMRC in writing so they close the Corporation Tax record for that period.
Is £125 all I pay?+
Yes — one flat £125 covers preparation, filing and the acceptance receipt. There is no Companies House fee for dormant accounts filed online.
