Can I dissolve a company that still has money in the bank?+

Any remaining cash or assets become bona vacantia and pass to the Crown once the company is struck off. Pay yourself the balance (via salary, dividend or capital distribution) before you file.

What if my company has debts?+

DS01 is only for solvent companies. If your company can't pay its debts you'll need a Members' Voluntary Liquidation or a Creditors' Voluntary Liquidation — we can refer you to a licensed insolvency practitioner.

How long does dissolution take?+

Companies House processes the DS01 within a few days, then a two-month objection window runs in the London Gazette. Total: roughly 2–3 months.

Do I still need to file final accounts?+

You must inform HMRC that the company is closing and file any outstanding Corporation Tax and PAYE returns. Companies House will chase overdue Confirmation Statements — we advise clearing those first.

Can a dissolved company be restored later?+

Yes — via administrative or court restoration. See our Company Restoration service if you need a struck-off company reinstated.
