Does every Hong Kong company need a company secretary?+

Yes. Section 474 of the Companies Ordinance requires every Hong Kong company to have a company secretary. A private company can appoint one of its directors as secretary only if there is another director who is a natural person, so most companies use an external licensed secretary.

What does the $300 per year include?+

The annual appointment of a licensed company secretary, preparation and filing of the Annual Return (NAR1) including the HK$105 government fee, maintenance of statutory registers, compliance deadline tracking and handling of routine Companies Registry / IRD correspondence.

What is not covered?+

Complex corporate changes such as share allotments, transfers, reductions of capital, company name changes, winding-up and legal advice are quoted separately. Government fees beyond the standard Annual Return fee are also extra.

Can I switch from my current secretary?+

Yes. Provide your current secretary's details and we prepare the resignation, consent and appointment documents, then lodge the change with the Companies Registry.

Do you store my corporate documents?+

How quickly is the secretary appointed?+
