What is the Hong Kong Annual Return (NAR1)?
The NAR1 is a yearly snapshot every Hong Kong private company must file with the Companies Registry. It confirms your registered office, directors, shareholders, company secretary and share capital as at the anniversary of incorporation.
When is it due?
Within 42 days after each anniversary of your company's incorporation date. Missing the window triggers escalating late-filing fees that grow the longer the return is outstanding.
What happens if I file late?
The Companies Registry charges late fees that increase the longer the delay runs — starting in the hundreds of HKD and climbing into the thousands. Persistent non-filing can lead to prosecution of the company and its directors.
Is the annual return the same as profits tax or the BR renewal?
No. The NAR1 goes to the Companies Registry; the Profits Tax Return goes to the IRD; and Business Registration renewal is a separate annual fee. We can handle all three — tell us what you need.
What information do you need from me?
Usually just confirmation that your current directors, shareholders and registered office are correct. If anything changed during the year, we update the records before filing.
