Why does my Pty Ltd need an Australian resident director?+

Section 201A of the Corporations Act 2001 requires every proprietary company to have at least one director who ordinarily resides in Australia. Without one, ASIC can refuse the registration or later deregister the company.

Does the nominee control my company?+

No. The nominee holds no shares, has no signing authority over your bank accounts and acts only on the written instructions of the beneficial owners. The deed spells this out and is enforceable.

What is included in the A$375?+

The annual appointment of the resident director, the ASIC lodgement of the appointment, the nominee and indemnity deed, and standard document requests from banks or the ATO during the year.

What is not covered?+

Anything that requires the nominee to take on active management, sign contracts, guarantee debts or act as public officer for tax purposes. Those are quoted separately. We also cannot act for companies in regulated sectors without prior review.

Can I replace the nominee later?+

Yes. Once you or a colleague become an Australian resident, we lodge the resignation and your own appointment with ASIC. There is no exit fee.

How quickly can the nominee be appointed?+

Usually 2–3 business days from completed KYC. New companies can be incorporated with the nominee already named as director, so there is no gap in compliance.
